1. Acceptance of Terms

These Terms & Conditions ("Terms") govern your access to and use of the website, application, dashboard and WhatsApp Business API/CRM services provided by RAI Cloud, operated by Muhammad Ishaq ("RAI Cloud", "we", "us", "our"). By creating an account or using the Services, you agree to be bound by these Terms.

2. Description of Service

RAI Cloud provides a WhatsApp Business API integration and CRM platform, including a shared team inbox, broadcast campaigns and message templates, contact and lead management, product catalogs, automation, and analytics, built on top of Meta's official WhatsApp Business Platform.

3. Eligibility & Account Registration

• You must be at least 18 years old and legally able to enter into a binding contract to use the Services.
• You must provide accurate and complete information when registering an account.
• You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

4. Use of WhatsApp Business API

To use our WhatsApp features, you must have or create a WhatsApp Business Account through Meta and authorise RAI Cloud to send and receive messages on your behalf via the WhatsApp Cloud API. You agree to comply with:

• The WhatsApp Business Messaging Policy;
• The Meta Platform Terms and WhatsApp Business Terms of Service; and
• All applicable laws relating to electronic communication, consumer protection and data privacy in your jurisdiction.

You are solely responsible for obtaining proper consent (opt-in) from your customers before messaging them through WhatsApp using RAI Cloud.

5. Acceptable Use

You agree not to use the Services to:

• Send unsolicited messages, spam, or messages violating WhatsApp's policies;
• Distribute malware, phishing content or fraudulent offers;
• Harass, abuse or harm another person;
• Violate any applicable law or the intellectual property rights of others; or
• Attempt to reverse-engineer, resell or interfere with the security of the platform.

We reserve the right to suspend or terminate accounts that violate these Terms or WhatsApp's own policies, including in response to enforcement action taken by Meta.

6. Subscription, Fees & Payment

Certain features of RAI Cloud may require a paid subscription. Fees, billing cycles and any applicable taxes will be communicated at the time of purchase. Meta/WhatsApp conversation-based charges, where applicable, are separate from RAI Cloud's own subscription fees and are governed by Meta's pricing.

7. Intellectual Property

All software, design, branding and content of the RAI Cloud platform are the property of RAI Cloud and protected by applicable intellectual property laws. You retain ownership of your own business data, contacts and content uploaded to the platform.

8. Third-Party Services

The Services rely on Meta's WhatsApp Business Platform and may integrate with other third-party services. We are not responsible for outages, policy changes or actions taken by Meta or other third parties that affect the availability of the Services.

9. Data & Privacy

Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use and protect information.

10. Limitation of Liability

To the maximum extent permitted by law, RAI Cloud shall not be liable for any indirect, incidental, special or consequential damages arising from your use of the Services, including loss of messages, business interruption, or actions taken by Meta/WhatsApp regarding your account.

11. Indemnification

You agree to indemnify and hold RAI Cloud harmless from any claims, damages or expenses arising from your misuse of the Services or violation of these Terms or applicable WhatsApp policies.

12. Termination

You may stop using the Services and close your account at any time. We may suspend or terminate your access if you breach these Terms, misuse the platform, or if required to do so by Meta/WhatsApp policy enforcement.

13. Governing Law

These Terms are governed by the laws of the Islamic Republic of Pakistan. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Punjab, Pakistan.

14. Changes to These Terms

We may revise these Terms from time to time. Continued use of the Services after changes take effect constitutes your acceptance of the revised Terms.
